This End User License Agreement (“EULA” or “Agreement”) is a legal agreement between you (“you”, “User”, or “Licensee”) and Motion Design School Company, 18151 NE 31st CT, Suite 311, Aventura, FL 33160, United States (“MDS”, “we”, “us”, or “Licensor”), governing your use of MDS software products for Adobe After Effects and Maxon Cinema 4D, including scripts, extensions, and plugins (each a “Product”, collectively the “Products”).
By downloading, installing, activating, or using any Product, you agree to be bound by this EULA. If you do not agree to these terms, do not install or use the Products and, where applicable, request a refund in accordance with Section 11.
This EULA supplements, and should be read together with, the MDS Terms and Conditions (https://motiondesign.school/terms-and-conditions/) and the MDS Privacy Policy (https://motiondesign.school/privacy-policy/). In the event of a conflict regarding the licensing of the Products, this EULA prevails.
1. Definitions
- “Products” means the software tools published by MDS and listed at motiondesign.school/scripts or tools.motiondesign.school, including, without limitation, Motion Tools Pro, Motion Tools Classic, FlashBoards, Motion Tweaks, Riv Player, Super 3D, ColorSwap, Deekay Tool, Deekay Tool Light, Crazy Shapes, Super Morphings, Swiss Knife, Super Liquids, Super Lines, and the Offset Effector plugin for Cinema 4D, together with any related documentation and updates.
- “Free Products” means the Products made available by MDS free of charge, currently Motion Tools Classic and Deekay Tool Light.
- “Paid Products” means all Products other than Free Products, made available for a one-time license fee.
- “License Key” means the unique activation key or license credential issued to you upon purchase of a Paid Product, delivered to your MDS account or, for purchases made through aescripts + aeplugins (“aescripts”), managed through your aescripts account.
- “Device” means a single computer or workstation on which a Product is installed and activated.
- “Output” means animations, compositions, renders, project files, and any other content you create using the Products.
2. License Grant
2.1 Paid Perpetual License
Subject to your payment of the applicable one-time license fee and your compliance with this EULA, MDS grants you a personal, worldwide, perpetual, non-exclusive, non-transferable license to install and use the Paid Product for which the fee was paid.
Each license is granted to a single individual — the holder of the account under which the Product was purchased. The license is tied to you as a person, not to a company, studio, or workstation.
2.2 Free License
MDS grants you a personal, worldwide, non-exclusive, non-transferable license to install and use the Free Products at no charge, on the same terms as the Paid Perpetual License except for the payment obligation.
You may share Free Products only by sharing a link to the official MDS download page, so that each user downloads the Free Product directly from MDS. You may not redistribute the Free Product installation files themselves, whether directly, by rehosting, bundling, or otherwise, without prior written permission from MDS.
3. Scope of Permitted Use
- Per-user license. Your license permits use of the Product by you personally. Each additional individual using a Product must hold their own license.
- Devices. You may install and activate each Product on up to three (3) Devices simultaneously, provided the Product is used only by you. You may deactivate a Device to free an activation slot for another Device, as described in Section 4.
- Commercial use. You may use the Products for both personal and commercial projects without restriction or additional fees.
- Freelance and studio work. If you are an individual holding a personal license, you may use the Products in the course of work performed for or on behalf of a studio, agency, or other company (whether as an employee, freelancer, or contractor). However, your personal license does not extend to other members of that organization: every other individual who uses the Products must hold their own license.
- No team licenses. MDS does not currently offer team, studio, floating, or volume licenses. Organizations wishing to equip multiple users must obtain an individual license for each user.
4. License Activation and Validation
4.1 Products purchased from MDS
Paid Products purchased from MDS are activated with an MDS License Key. During activation, the License Key is validated by the MDS licensing service together with the Product identifier and a locally generated device/installation identifier. A successful activation is stored locally on the Device; depending on the Product, a local backup of the activation may be kept for recovery purposes.
Activated Paid Products periodically revalidate the license online. The exact validation mechanics may vary by Product; typically, revalidation occurs no more than once every twenty-four (24) hours, and if the licensing service cannot be reached, an existing activation remains usable for a limited offline period (typically up to seven (7) days) from the last successful check, after which a successful online check is required to continue using the Product.
You may deactivate a Product on a Device in order to activate it on a different Device, subject to the limit of three (3) simultaneous activations. Depending on the Product, deactivation is available from within the Product or by contacting MDS support.
4.2 Products purchased through aescripts
Products purchased through aescripts + aeplugins use the standard aescripts licensing framework. Activation and subsequent license-status refreshes are handled through aescripts, and purchase, license, and activation management are associated with your aescripts account. An offline activation workflow may be available; its availability and instructions are determined and handled by aescripts for the specific license.
Purchases made through aescripts are additionally subject to the applicable aescripts terms of service and policies. In the event of a conflict between this EULA and the aescripts terms regarding the mechanics of purchase, activation, or refunds processed by aescripts, the aescripts terms govern those mechanics; this EULA continues to govern your use of the Product itself.
5. Restrictions
Except to the extent expressly permitted by this EULA or by applicable law that cannot be excluded by agreement, you may not:
- copy, modify, adapt, translate, or create derivative works of any Product;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any Product, or circumvent, disable, or tamper with any licensing, activation, or copy-protection mechanism;
- share, publish, or disclose your License Key, or allow any other individual to use a Product under your license or account;
- rent, lease, lend, sublicense, or provide a Product to third parties as part of a service bureau, outsourcing, or similar arrangement;
- redistribute Product installation files, including Free Products (see Section 2.2), or bundle any Product with other software or products for distribution;
- remove or alter any copyright, trademark, or other proprietary notices contained in the Products;
- use the Products in violation of applicable law.
6. No Resale or Transfer of Licenses
Licenses and License Keys are personal to you and are strictly non-transferable. You may not sell, resell, auction, trade, gift, assign, or otherwise transfer your license, License Key, or account access to any other person or entity, whether for payment or free of charge, and whether directly or through any marketplace, forum, or intermediary.
Any attempted resale or transfer of a license or License Key automatically and immediately terminates the license without notice and without refund. MDS reserves the right to invalidate License Keys that have been resold, transferred, or offered for resale, and to suspend associated accounts. Licenses or License Keys obtained from anyone other than MDS or its authorized sales channels (including aescripts) are invalid and convey no rights.
7. Updates and New Versions
Your one-time license fee for a Paid Product includes all future updates of that same Product — including bug fixes, compatibility updates, improvements, and feature additions released for that Product — at no additional charge.
MDS may from time to time develop a new product that is based on, derived from, or succeeds an existing Product (for example, Motion Tools Pro in relation to Motion Tools Classic). Such a new product constitutes a separate Product, may be offered under a separate license and fee, and is not included in the license for the original Product. The designation of a release as an update to an existing Product or as a new separate Product is determined by MDS in its reasonable discretion.
MDS is under no obligation to release updates or new versions, and may modify or discontinue development of any Product, subject to Section 12.
8. Ownership of Output
You retain all rights, title, and interest in and to the Output you create using the Products. MDS claims no ownership of your Output. You may use your Output for any purpose, including commercial projects, client work, and work performed for studios, without attribution and without any additional fees or royalties owed to MDS.
For clarity, this Section applies to your Output only and does not grant you any rights in the Products themselves, including any scripts, code, presets, or assets contained within the Products.
9. Intellectual Property
The Products are licensed, not sold. MDS and its licensors retain all rights, title, and interest in and to the Products, including all copyrights, trademarks, trade secrets, and other intellectual property rights. All rights not expressly granted to you in this EULA are reserved by MDS.
“Motion Design School” and the names of the Products are trademarks or trade names of MDS. Nothing in this EULA grants you any right to use MDS trademarks, logos, or branding.
10. Third-Party Software and Platforms
The Products are designed to run within third-party host applications (such as Adobe After Effects and Maxon Cinema 4D). Your use of those host applications is governed by their respective license agreements, and MDS is not responsible for the host applications or for changes made to them by their publishers.
Products distributed through aescripts incorporate the aescripts licensing framework, which is operated by aescripts and subject to aescripts policies, including the aescripts Privacy Policy (https://aescripts.com/privacy-policy/).
11. Refunds
For Paid Products purchased from MDS: if you are not satisfied with a Product, you may request a full refund within fourteen (14) days after the purchase. If a Product was purchased before its official release date, a refund may be requested up to fourteen (14) days after the first installation. Refunds are not available for: (a) purchases made using a discount coupon; (b) purchases made during a promotional sale or at a discounted price; or (c) purchases made using e-tokens.
Upon a refund, your license for the refunded Product terminates, the associated License Key is invalidated, and you must uninstall the Product from all Devices.
For purchases made through aescripts, refunds are handled by aescripts under the applicable aescripts refund policy.
12. Support; No Compatibility Guarantee
MDS provides reasonable technical support for the Products through its support channels. Support is provided on a commercially reasonable efforts basis and does not include guaranteed response times, on-site services, or custom development.
MDS does not guarantee that any Product is or will remain compatible with any particular version of a host application (including future releases of Adobe After Effects or Maxon Cinema 4D), operating system, or hardware configuration. Compatibility information published on MDS product pages describes the state of the Product at the time of publication and may change.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. MDS DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MDS DOES NOT WARRANT THAT THE PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, MDS’S WARRANTIES ARE LIMITED TO THE MINIMUM SCOPE AND DURATION REQUIRED BY APPLICABLE LAW.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MDS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, PROJECTS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF OR INABILITY TO USE THE PRODUCTS, EVEN IF MDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MDS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS EULA OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO MDS FOR THE PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR TEN U.S. DOLLARS (US $10) FOR FREE PRODUCTS.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
15. Privacy and License Data
The installed Products do not themselves collect separate product-usage analytics. Both licensing systems process only the technical and license information reasonably necessary to validate and manage an activation. This Section describes data processing performed by the installed software only; information collected through the MDS or aescripts websites (including website analytics) is governed by the respective website privacy policies.
- For Products purchased from MDS, the MDS licensing service processes your License Key, the Product identifier, and a locally generated device/installation identifier for the purposes of activation and license validation. This processing is carried out in accordance with the MDS Privacy Policy (https://motiondesign.school/privacy-policy/).
- For Products purchased through aescripts, license activation and management are handled by aescripts and may involve the transmission of technical identifiers such as the Device hostname, username, and IP address. That processing is governed by the aescripts Privacy Policy (https://aescripts.com/privacy-policy/).
16. Termination
This EULA is effective until terminated. Your license terminates automatically, without notice, if you materially breach this EULA, including any breach of Sections 5 (Restrictions) or 6 (No Resale or Transfer of Licenses). MDS may additionally invalidate the associated License Key and suspend related account access.
Upon termination for any reason, you must cease all use of the affected Product, deactivate it, and delete all copies from your Devices. Termination for breach does not entitle you to any refund.
Sections 5, 6, 8, 9, 13, 14, 15, 16, and 17 survive termination of this EULA. You may terminate this EULA at any time by uninstalling and deleting the Products.
17. Governing Law and Disputes
This EULA is governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to this EULA or the Products that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts. Nothing in this Section limits either party’s right to seek injunctive relief for infringement of intellectual property rights in any court of competent jurisdiction, or deprives you of any mandatory consumer protections available under the laws of your country of residence.
18. General
- Entire agreement. This EULA, together with the MDS Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and MDS regarding the Products and supersedes all prior communications on this subject.
- Changes to this EULA. MDS may update this EULA from time to time. The current version will be published on the MDS website with its effective date. Material changes will not retroactively deprive you of a perpetual license already granted; continued use of a Product after an update takes effect constitutes acceptance of the updated terms.
- Severability. If any provision of this EULA is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permissible.
- No waiver. MDS’s failure to enforce any provision of this EULA is not a waiver of that provision or of the right to enforce it later.
- Assignment. You may not assign this EULA or any license. MDS may assign this EULA in connection with a merger, acquisition, or sale of assets.
- Export compliance. You agree to comply with applicable export control and sanctions laws in connection with your use of the Products.
